These Terms of Use ("Terms") govern your access to and use of the websites, mobile applications, and other services provided by Life Agents, LLC ("Nomi," "We," "Us," or "Our"), including https://nomifriend.com and the Nomi mobile application (collectively, the "Services"). Please read these Terms carefully before using the Services.

By using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

1. Eligibility

You must be at least 17 years of age to use the Services. By using the Services, you represent and warrant that you meet this age requirement. If you are under 17, you are not permitted to use the Services. We reserve the right to terminate any account we believe belongs to a user under the age of 17.

2. Account Registration

To access certain features of the Services, you may be required to create an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain the security of your password and account credentials
Notify us immediately of any unauthorized use of your account
Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate your account if any information you provide is inaccurate, false, or incomplete.

3. AI Companion Services

Nomi provides AI-powered companion characters ("Companions") that engage in personalized conversations with users. By using these features, you acknowledge and agree that:

Companions are artificial intelligence systems, not real people
Conversations with Companions are generated by AI and do not reflect the views, opinions, or advice of Nomi or any real individual
Companions are not a substitute for professional advice, including medical, psychological, legal, or financial advice
You should not rely on Companions for decisions involving your health, safety, financial wellbeing, or legal matters
Nomi does not guarantee the accuracy, reliability, or appropriateness of any AI-generated content

Nomi reserves the right to modify, update, or discontinue any Companion character or AI feature at any time without notice.

4. Subscriptions and Payments

Free and Paid Tiers. The Services may be offered on a free basis with limited features, or through paid subscription plans that unlock additional features ("Premium Services").

Billing. If you subscribe to a paid plan, you authorize us to charge your payment method on a recurring basis at the then-current subscription rate. Subscription fees are charged at the beginning of each billing period.

Cancellation. You may cancel your subscription at any time through your account settings or the app store through which you subscribed. Cancellation takes effect at the end of the current billing period. We do not provide refunds for unused portions of a subscription period except as required by applicable law.

Price Changes. We may change subscription prices at any time. We will provide advance notice of any price increase and your continued use of the Services after the price change constitutes your acceptance of the new price.

App Store Purchases. If you purchase a subscription through the Apple App Store or Google Play Store, the purchase is subject to that platform's terms and conditions, and billing is managed by the respective platform.

5. Permitted Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may use the Services to:

Engage in conversations with AI companion characters for personal, non-commercial purposes
Access features made available to you based on your subscription tier
Provide feedback to help improve the Services

6. Prohibited Conduct

You agree not to:

Use the Services if you are under 17 years of age
Attempt to extract, reverse-engineer, or replicate the underlying AI models, algorithms, or character personas
Use the Services to generate, transmit, or distribute content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
Attempt to circumvent any content moderation, safety filters, or access controls
Use the Services to harass, exploit, or harm any person
Use automated tools, bots, or scripts to access or interact with the Services without our express written permission
Impersonate any person or entity or misrepresent your affiliation with any person or entity
Use the Services for any commercial purpose without our prior written consent
Violate any applicable local, state, national, or international law or regulation

7. User Content

You retain ownership of content you submit to the Services. By submitting content, you grant Nomi a non-exclusive, worldwide, royalty-free license to use, process, and store that content for the purposes of providing and improving the Services, as described in our Privacy Policy.

You represent and warrant that you own or have the necessary rights to submit any content you provide, and that your content does not violate the rights of any third party or any applicable law.

8. Intellectual Property

All content, features, and functionality of the Services — including but not limited to AI companion characters, personas, text, graphics, logos, and software — are the exclusive property of Nomi or its licensors and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any part of the Services without our express written permission.

9. Privacy

Your use of the Services is also governed by our Privacy Policy, available at https://nomifriend.com/privacy, which is incorporated into these Terms by reference.

10. Third-Party Services

The Services may contain links to or integrate with third-party websites, applications, or services. We are not responsible for the content, privacy practices, or terms of any third-party service. Your use of third-party services is at your own risk and subject to their respective terms.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NOMI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

AI-GENERATED CONTENT IS PROVIDED FOR ENTERTAINMENT AND COMPANIONSHIP PURPOSES ONLY. NOMI MAKES NO REPRESENTATIONS REGARDING THE ACCURACY OR RELIABILITY OF ANY AI-GENERATED OUTPUT.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NOMI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF NOMI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL NOMI'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO NOMI IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Nomi and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

14. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, including for violation of these Terms. Upon termination, your right to use the Services will immediately cease. Sections that by their nature should survive termination shall survive, including Sections 8, 11, 12, 13, and 15.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any dispute arising from these Terms or your use of the Services shall be resolved exclusively in the state or federal courts located in California, and you consent to personal jurisdiction in such courts.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after any changes constitutes your acceptance of the updated Terms.
